Software Terms of Use

Version 1.0 Effective from 3 March 2026

Introduction

These Software Terms of Use (the "Terms") govern the use of (i) GreenHearth’s digital tools, software, portals and models, and (ii) any preliminary, indicative or illustrative outputs, including quotations, financial illustrations and project economics generated by them.

By accessing or using the Software or relying on any Output, you agree to be bound by these Terms.

1 Definitions

In these Terms:

  • GreenHearth, we, us or our means GreenHearth Limited (also trading as GreenHearth and GreenHearth Energy).

  • Software means any web‑based or digital platform, portal, calculator, model or tool made available by GreenHearth, including, but not limited to the Quote Portal, Preliminary Appraisal, Battery Analysis, Optimisation Study or Financial Appraisal interactive financial and project‑economics tools, spreadsheets or similar.

  • Output means any data, analysis, report, quotation, illustration, forecast, projection or other material generated by or derived from the Software, whether viewed on‑screen or provided in document form.

  • Preliminary Quotation means any quotation described as preliminary, indicative, illustrative or non‑binding.

  • You or User means any company accessing or using the Software or Output.

2 Status and regulatory position

2.1.     GreenHearth is not authorised or regulated by the Financial Conduct Authority and provides non‑regulated introductions only.

2.2 The Software and Outputs are intended solely for use by UK‑based limited companies. They are not intended for consumers or individuals.

2.3 Nothing in the Software, Outputs or these Terms constitutes regulated financial advice, investment advice, tax advice, commercial advice or a recommendation.

3 Nature of the Software and Outputs

3.1.     The Software produces high‑level economic illustrations and indicative analyses based on assumptions, third‑party data, market conditions and information provided by you or obtained on your behalf.

3.2.     Outputs:

·         are illustrative and indicative only;

·         reflect conditions, assumptions and lender appetite at the time they are produced;

·         are not updated automatically;

·         do not account for all site‑specific, technical, legal, commercial or operational factors.

3.3. Actual outcomes may differ materially from any Output

4 Preliminary Quotations

4.1.    Preliminary Quotations:

·         are not offers capable of acceptance;

·         are not a solicitation to obtain a financial product;

·         do not constitute a commitment to provide finance;

·         are subject to credit approval, lender terms and conditions and further due diligence.

4.2       Asset finance transactions usually require the full VAT amount on the asset cost to be paid with the first payment and may require documentation, administration and option to purchase fees which may not be included the Preliminary Quotation.

4.3       Financing terms, pricing, availability and structure may change without notice due to market conditions or lender requirements.

4.4      GreenHearth may receive commissions from lenders. We will usually receive commissions that will vary depending on the amount borrowed and may vary depending on lender, product or other permissible factors. The nature of any commission model will be confirmed to you before you proceed.

5 No reliance and independent assessment

5.1.     You acknowledge and agree that:

·         you must undertake your own independent technical, financial, legal and commercial assessment;

·         Outputs must not be relied upon as the sole basis for any investment, financing or operational decision;

·         primary source data, site surveys, OEM data and professional advice should be obtained.

5.2.    Any reliance on the Software or Outputs is entirely at your own risk.

6 Permitted use

6.1 You may use the Software and Outputs solely for your internal business evaluation purposes.

6.2 You must not:

·         distribute Outputs to third parties without our prior written consent, for the avoidance of doubt Preliminary Quotations can be distributed to the parties they are prepared for;

·         represent Outputs as guarantees, offers or binding commitments;

·         remove disclaimers or attribution;

6.3 use the Software for unlawful, misleading or improper purposes.

7 Intellectual property

7.1.     All intellectual property rights in the Software and Outputs remain vested in GreenHearth or its licensors.

7.2    No rights are granted other than the limited right to use the Software and Outputs in accordance with these Terms.

7.3     © 2026 GreenHearth Limited. All rights, save as expressly granted, are reserved. Reproduction in any form of any part of the contents of the Software without our prior written consent is prohibited.

8 Availability and changes

8.1.    The Software is provided on an “as is” and “as available” basis.

8.2    We do not warrant that the Software will be uninterrupted, error‑free or produce any particular result.

8.3    We may modify, suspend or withdraw the Software, methodologies, assumptions or Outputs at any time.

9 Liability

9.1.     Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence or fraud.

9.2.        Subject to clause 9.1, GreenHearth shall not be liable for any:

·         loss of profit, revenue, business, data or anticipated savings;

·         indirect or consequential loss;

·         decisions made or actions taken in reliance on the Software or Outputs;

·         rejection of applications by lenders, network operators, planning authorities or other third parties.

9.3        Your sole remedy for dissatisfaction with the Software or Outputs is to discontinue use

10 Privacy and data

10.1     Use of the Software is subject to our Privacy Notice, Website Privacy and Cookies Notice, which explain how personal data is processed.

11 Changes to these Terms

11.1     We may update these Terms from time to time. Continued use of the Software or Outputs constitutes acceptance of the updated Terms.

10 Governing Law

12.1     These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, with the courts of England and Wales having jurisdiction.
